Terms and Conditions of Sale
Effective Date: May 1, 2025
1. Acceptance of Terms By accessing or placing an order through Simple Peptide Wholesale (“Company”), you (“Buyer”) agree to be bound by the following Terms and Conditions. These Terms govern all purchases made from Company, including but not limited to research-only peptides, white-labeled products, and related materials (“MATERIAL”).
2. Research Use Only All MATERIALS sold are intended for laboratory research use only and are not intended for human or veterinary use. Buyer agrees not to use, promote, or facilitate use of any product in humans or animals. No exceptions. Nothing contained herein shall be construed as granting any license or right, by implication, estoppel, or otherwise, under any intellectual property rights of the Company or any third party.
3. Compliance and Legal Use Buyer represents and warrants that they are authorized to purchase and use MATERIAL in accordance with applicable federal, state, and local laws. Buyer accepts sole responsibility for verifying the legality of purchase, possession, and use in their jurisdiction. Buyer agrees not to export, re-export, or otherwise transfer any MATERIAL to any country, person, or entity in violation of U.S. export control laws.
4. Buyer Eligibility Purchases may only be made by authorized research institutions, licensed professionals, or businesses registered and approved by Company. Company reserves the right to deny or revoke account access at any time.
5. Agreement to Terms at Checkout Buyer must check a box during checkout confirming they have read and agree to these Terms. Timestamp, IP address, and order data will be logged as legal acknowledgment.
6. White Label and Reseller Requirements Buyers who intend to white label or resell MATERIALS must:
Submit a completed and signed Peptide Reseller Certificate
Maintain proper labeling on all products: prominently stating “For Research Use Only”
Retain original lot numbers and expiration dates on all packaging
Submit final packaging/label designs for approval
Refrain from marketing for human consumption or performance enhancement
Ensure downstream buyers and resellers also agree to and follow these Terms
Remain responsible for ensuring downstream buyers and resellers do not misuse the MATERIAL, regardless of whether Buyer is directly aware of the misuse
7. Indemnification Buyer agrees to indemnify, defend, and hold harmless Company from any and all claims, liabilities, damages, expenses, or penalties arising out of Buyer’s (or their customers’ or resellers’) misuse, mislabeling, unauthorized marketing, or improper resale of MATERIAL.
8. No Warranties All MATERIALS are sold “as is.” Company makes no representations or warranties, express or implied, regarding merchantability, fitness for a particular purpose, or performance.
9. Limitation of Liability Company shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use or misuse of MATERIALS.
10. Resale and Distribution Policy Buyer may not repackage, relabel, distribute, or sell MATERIALS without written approval and submission of the Peptide Reseller Certificate. Unauthorized resale constitutes a material breach of these Terms. Nothing in these Terms shall be interpreted to grant any right to use the Company’s intellectual property unless expressly stated.
11. Marketing Restrictions Resellers may not advertise or sell Company MATERIALS on Amazon, eBay, Etsy, Meta/Facebook, or any platform that explicitly prohibits research-only substances. All marketing must clearly state the products are not for human or veterinary use.
12. Audit Rights Company retains the right to audit resellers’ marketing materials, packaging, and sales channels. Refusal to comply may result in account suspension or termination.
13. Account Termination Company reserves the right to terminate any Buyer’s account without notice for breach of these Terms, including failure to comply with labeling, marketing, or documentation requirements.
14. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
15. Amendments and Updates Company reserves the right to update or modify these Terms at any time. Buyers will be required to re-acknowledge updated Terms before placing future orders. Version history will be maintained.

CREDIT CARDS
We accept credit cards as a form of payment. There is no surcharge for using your credit card to make purchases. Incorrect information will cause a delay in processing your order. Credit Card purchases will appear on your bill as SimplePeptide.com.

MULTIPLE PRODUCT ORDERS
For multiple product orders, we will make every attempt to ship all items contained in that order at the same time. Products that are unavailable at the time of shipping will be shipped as they become available, unless you inform us otherwise. You will only be charged for products contained in a given shipment, plus any applicable shipping charges. You will only be charged for shipping at the rate quoted to you on your purchase receipt. The entirety of this shipping charge will be applied to the first product(s) shipped on a multiple shipment order.
ORDER ACCEPTANCE POLICY
Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Simple Peptide reserves the right at any time after receipt of your order to accept or decline your order for any reason or to supply less than the quantity you ordered of any item.
OTHER CONDITIONS
These conditions will supersede any terms and/or conditions you include with any purchase order, regardless of whether this store signs them or not. Simple Peptide reserves the right to make changes to this site and these conditions at any time.
OUT-OF-STOCK PRODUCTS
We will ship your product as it becomes available. Usually, products ship by the next business day. However, there may be times when the product you have ordered is out-of-stock, which will delay fulfilling your order. We will keep you informed of any products that you have ordered that are out-of-stock and unavailable for immediate shipment. You may cancel your order at any time prior to shipping.
PRIVACY ON OTHER WEB SITES
Other sites accessible through our site have their own privacy policies and data collection practices. Please consult each site’s privacy policy for more information. Simple Peptide is not responsible for the actions of third parties.
RETURNS
We will gladly accept the return of products that are defective due to defects in manufacturing and/or workmanship. Fulfillment mistakes that may be made which result in the shipment of incorrect products to you will also be accepted for return.
SHIPPING POLICY
Shipping Time — Most orders will ship the same business day if received prior to 3 pm EST provided the product ordered is in stock. Orders are not processed or shipped on Saturday or Sunday, except by prior arrangement.
We cannot guarantee when an order will arrive. Consider any shipping or transit time offered to you by this site or other parties only as an estimate. We encourage you to order in a timely fashion to avoid delays caused by shipping or product availability.

TAXES
Our store will automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within the same state/province where Simple Peptide holds a presence. For orders shipped to other areas, you (the shopper) are solely responsible for any sales taxes and/or other taxes that may apply.
TYPOGRAPHICAL ERRORS
In the event a product is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, Simple Peptide shall have the right to refuse or cancel any orders placed for products listed at the incorrect price. Simple Peptide shall also have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Simple Peptide will issue a refund to your card in the amount of the incorrect price
